The merger of Scott & White Healthcare
and Dallas-based Baylor
Health Care System advanced Wednesday with the signing of a definitive agreement by both boards, and with the news that Dallas will be the parent company’s headquarters. The merger is expected to close in 2013, after the Attorney General, Federal Trade Commission and Texas Department of Insurance review and approve the contract. Baylor Scott & White Health will be the parent company and will be based in Dallas. Baylor Scott & White Health Service will be a service company based in Temple. Joel Allison, president and CEO of Baylor Health Care System, will be the chief executive of both the new parent and service company. “We are focused on making this merger a reality,” Allison said. “At this point, we will now begin the integration planning process.” Dr. Robert Pryor, CEO of Scott & White Healthcare, will be the new president, chief operating officer and chief medical officer for the parent company and president of the service company.
